PUBLIC OFFER AGREEMENT

This Agreement is an official and public offer of the Seller to conclude a contract of sale of Goods presented on the website www.willo.com.ua (hereinafter referred to as the "Website") and the profile on the social network "Instagram" at https://www.instagram.com/willo.ua/ (hereinafter referred to as the "Profile").

This Agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, or sole proprietor), without granting any preference to one buyer over another.

By entering into this Agreement, the Buyer fully accepts the terms and procedures for placing an order, paying for the Goods, delivering the Goods, returning the Goods, liability for fraudulent orders, and all other terms of the Agreement. The Agreement is considered concluded from the moment the Buyer clicks the "Confirm Order" button on the checkout page in the "Cart" section and receives an electronic confirmation of the order from the Seller.

1. Definitions

1.1. Public Offer (hereinafter - "Offer") - a public proposal by the Seller, addressed to an indefinite number of persons, to conclude a distance contract of sale (hereinafter - "Agreement") under the terms specified in this Offer.

1.2. Goods or Services - the subject of the transaction selected by the Buyer on the Website of the Online Store and placed in the cart, or already purchased by the Buyer remotely from the Seller.

1.3. Online Store - the Seller’s website at www.willo.com.ua, created for concluding retail and wholesale sales contracts based on the Buyer’s review of the Goods offered by the Seller via the Internet.

1.4. Buyer - a legally capable individual who has reached the age of 18, who receives information from the Seller, places an order for the purchase of Goods presented on the Website of the Online Store for purposes not related to business activity, or a legal entity or sole proprietor.

1.5. Seller - the person managing the Profile and Website, namely,  individual entrepreneur Yefymenko Alona Anatoliivna (Extract from the Unified State Register No. 2010350000000477861 dated 06.01.2024), registered and operating under the laws of Ukraine.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

2.2. The date of conclusion of the Offer Agreement (acceptance of the Offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement shall be the date the Buyer completes the order form on the Website of the Online Store, provided that the Buyer receives electronic confirmation of the order from the Seller. If necessary, at the Buyer’s request, the Agreement may be executed in writing.

3. Order Placement

3.1. The Buyer independently places an order in the Online Store through the "Cart" form, via the "Profile," or by phone number specified in the Contacts section of the Online Store.

3.2. The Seller has the right to refuse to fulfill an order if the information provided by the Buyer during order placement is incomplete or raises doubts about its authenticity.

3.3. When placing an order on the Website or Profile, the Buyer must provide the following mandatory information required for order fulfillment:

3.3.1. Buyer’s last name and first name.
3.3.2. Delivery address (if delivery to the Buyer’s address).
3.3.3. Contact phone number.
3.3.4. Identification code for legal entities or sole proprietors.

3.4. The name, quantity, article number, and price of the Goods selected by the Buyer are indicated in the Buyer’s cart on the Online Store Website.

3.5. If either Party requires additional information, they have the right to request it from the other Party. Failure by the Buyer to provide necessary information releases the Seller from liability for improper service in the Online Store.

3.6. When placing an order through the Seller’s operator, the Buyer must provide the information specified in clauses 3.3-3.4 of this Offer.

3.7. When placing an order through the Profile, the Buyer must provide the information specified in clauses 3.3-3.4 of this Offer.

3.8. Acceptance by the Buyer of this Offer is carried out by entering the required data into the registration form on the Website, in the Profile, or when placing an order through the operator. After placing an order through the Operator, the Buyer’s data are entered into the Seller’s database.

3.9. The Buyer is responsible for the accuracy of the information provided when placing an order.

3.10. By concluding this Agreement, i.e., by accepting the terms of this Offer (the proposed terms of purchase of Goods) through placing an order, the Buyer confirms that:

a) the Buyer is fully acquainted with and agrees with the terms of this Offer;
b) the Buyer consents to the collection, processing, and transfer of personal data, with such consent remaining valid for the entire term of the Agreement and indefinitely after its termination. The Buyer confirms they have been informed (without further notice) of their rights under the Law of Ukraine "On Personal Data Protection," the purposes of data collection, and that their personal data will be transferred to the Seller for fulfilling the Agreement, conducting settlements, and receiving invoices, acts, and other documents. The Buyer also agrees that the Seller has the right to provide access to and transfer their personal data to third parties without additional notice to the Buyer for the purpose of fulfilling the Buyer’s order. The Buyer understands their rights as a data subject under the Law of Ukraine "On Personal Data Protection."

4. Price and Delivery of Goods

4.1. Prices for Goods and services are set by the Seller independently and are indicated on the Website and Profile of the Online Store. All prices are stated in Ukrainian hryvnia including VAT.

4.2. Prices for Goods and services may be changed unilaterally by the Seller depending on market conditions. However, the price of a unit of Goods already paid in full by the Buyer cannot be changed by the Seller unilaterally.

4.3. The price of Goods indicated on the Website does not include delivery costs. Delivery costs are paid by the Buyer directly to the selected delivery service (carrier) according to its applicable tariffs.

4.4. The Seller may provide an estimated delivery cost upon the Buyer’s request via email or during order placement with the Online Store operator.

4.5. The Buyer’s obligation to pay for the Goods is considered fulfilled upon receipt of funds by the Seller into their account.

4.6. Settlements between the Seller and Buyer are made using the methods specified on the Website in the "Payment and Delivery" section.

4.7. Upon receipt of the Goods, the Buyer must check the Goods in the presence of the delivery service representative for compliance with quality and quantity characteristics (product name, quantity, completeness).

4.8. The Buyer or their representative confirms by signature on the receipt, order, or waybill that there are no claims regarding quantity, appearance, or completeness of the Goods.

4.9. Ownership and risk of accidental loss or damage to the Goods pass to the Buyer or their representative upon receipt of the Goods at the delivery location or when the Seller transfers the Goods to the Buyer’s chosen delivery service (carrier).

5. Rights and Obligations of the Parties

5.1. The Seller must:

  • Transfer the Goods to the Buyer in accordance with the terms of this Agreement and the Buyer’s order.

  • Not disclose any private information about the Buyer, except as required by law or for order fulfillment.

5.2. The Seller has the right to:

  • Change the terms of this Agreement and the prices for Goods and services unilaterally by publishing updates on the Website. All changes take effect upon publication.

5.3. The Buyer must:

  • Review the Agreement, its terms, and the prices offered on the Website before concluding the Agreement.

  • Provide accurate and complete information necessary for order fulfillment.
     

6. Return of Goods

6.1. The Buyer may return Goods of proper quality within 14 (fourteen) days (excluding the purchase date) if the Goods do not suit them in form, dimensions, style, color, size, or for other reasons. The return is valid if the Goods have not been used, retain their marketable condition, consumer properties, packaging, and the purchase receipt is provided.

6.2. Refunds for returned Goods of proper quality are made within 30 (thirty) calendar days from the date the Seller receives such Goods, provided the conditions in clause 6.1 are met.

6.3. Refunds are made by bank transfer to the Buyer’s account.

6.4. Returns of Goods of proper quality to the Seller’s address are at the Buyer’s expense and are non-refundable by the Seller.

6.5. If defects are discovered within the warranty period, the Buyer may present claims under the Law of Ukraine "On Consumer Rights Protection." The repair period starts from the date the Seller receives and gains physical access to the defective Goods.

6.6. Claims under the Law of Ukraine "On Consumer Rights Protection" will be considered by the Seller if the Buyer provides the required documents. The Seller is not liable for defects caused after transfer of the Goods due to misuse, improper storage, third-party actions, or force majeure.

6.7. The Buyer may not return Goods of proper quality with individually specified properties (e.g., non-standard sizes, custom features).

6.8. Returns must be made to the address indicated in the "Contacts" section of the Website.

7. Liability

7.1. The Seller is not liable for damage caused to the Buyer or third parties due to improper or unintended use of Goods.

7.2. The Seller is not liable for improper or late order fulfillment caused by inaccurate Buyer information.

7.3. Both Parties are liable under Ukrainian law and this Agreement.

7.4. Neither Party is liable for non-performance if caused by force majeure events (war, natural disasters, fire, etc.) beyond their control.

8. Confidentiality and Personal Data Protection

8.1. By providing personal data on the Website during registration or order placement, the Buyer gives voluntary consent to the Seller for processing, using (including transferring), and performing other actions with their personal data as provided by the Law of Ukraine "On Personal Data Protection," without time limitation.

8.2. The Seller undertakes not to disclose Buyer information, except to contractors and third parties involved in fulfilling Buyer orders or as required by law.

8.3. The Buyer is responsible for keeping their data up to date. The Seller is not liable for improper fulfillment of obligations due to outdated or inaccurate Buyer information.

9. Other Conditions

9.1. This Agreement is concluded in Ukraine and governed by the laws of Ukraine.

9.2. All disputes between Buyer and Seller shall be resolved through negotiations. If no agreement is reached, either Party may refer the dispute to the courts of Ukraine.

9.3. The Seller may amend this Agreement unilaterally (clause 5.2.1), or by mutual agreement of the Parties as provided by Ukrainian law.
